Section 259. Nothing in this title shall be construed to enlarge the powers of the absorbing or surviving company in case of merger, or the newly formed company in case of consolidation, except those conferred by the certificate of merger or of consolidation and the articles of merger of consolidation, or the amended articles of incorporation, as registered with the Securities and Exchange Commission.
